By accessing or using the services provided by Koro LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
Koro LLC provides web development, cybersecurity, and digital optimization services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate service agreement or proposal.
You must be at least 18 years old and have the legal authority to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.
You agree not to use our services to:
Payment terms, including pricing, payment schedules, and accepted payment methods, will be specified in your service agreement. All fees are due as outlined in the agreement. Late payments may be subject to additional fees or service suspension.
Refund policies will be specified in your individual service agreement. Generally, deposits and payments for completed work are non-refundable.
Upon full payment, you will own the final deliverables created specifically for your project. Koro LLC retains ownership of all pre-existing materials, templates, tools, and methodologies used in the creation of your project.
Unless otherwise agreed in writing, Koro LLC reserves the right to display completed projects in our portfolio, marketing materials, and case studies.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the service agreement.
We warrant that our services will be performed with reasonable skill and care in accordance with industry standards. Specific warranties for deliverables will be outlined in your service agreement.
EXCEPT AS EXPRESSLY PROVIDED IN YOUR SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KORO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Koro LLC from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
Either party may terminate the service agreement as specified in the agreement. Upon termination, you are responsible for payment of all services rendered up to the termination date. Provisions that by their nature should survive termination (including payment obligations, intellectual property rights, warranties, and limitations of liability) will continue to apply.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
Any disputes arising from these Terms or our services shall be resolved through binding arbitration, except where prohibited by law. Each party shall bear its own costs of arbitration.
We reserve the right to modify these Terms at any time. The updated version will be indicated by the "Last updated" date at the top of this page. Continued use of our services after changes constitutes acceptance of the revised Terms.
These Terms, together with any service agreement or proposal, constitute the entire agreement between you and Koro LLC regarding the use of our services.
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
